CrossPeak Solutions Universal Terms of Service

1. Acceptance of Terms

By accessing or using any application (“Application”) developed by CrossPeak Solutions (“Company,” “we,” “us,” or “our”), you agree to be bound by these terms of service (“Terms”). If you do not agree to all of these Terms, do not use or access the Application.

2. Modification of Terms

We reserve the right to modify these Terms at any time. Your continued use of the Application after such modifications signifies your acceptance of the revised Terms.

3. License to Use

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to use the Application for your personal or business use.

4. Restrictions on Use

You agree not to:

• Use the Application for any unlawful purpose.
• Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Application.
• Rent, lease, loan, sell, sublicense, distribute, transmit, or otherwise transfer the Application access to any third party.
• Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the Application.

5. Intellectual Property

All rights, title, and interest in and to the Application, including all related intellectual property rights, are and shall remain with CrossPeak Solutions.

6. User Content

If the Application allows you to post, upload, or otherwise submit content, you retain ownership of such content. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute such content.

7. Privacy

Your use of the Application is subject to our Privacy Policy, which is incorporated into these Terms by reference.

8. Warranties and Disclaimers

The Application is provided “as is” and “as available” without any warranties, either express or implied. We do not warrant that the Application will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will CrossPeak Solutions be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or the use of the Application.

10. Indemnification

You agree to indemnify, defend, and hold harmless CrossPeak Solutions and its affiliates, officers, agents, and employees from any claim, demand, loss, damage, or expense, including reasonable attorneys’ fees, arising out of your use of the Application or violation of these Terms.

11. Termination

We reserve the right to terminate or suspend your access to the Application without prior notice for any reason, including violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Carolina, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising out of these Terms will be resolved through final and binding arbitration, rather than in court.

14. General Provisions

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
